F2i Consolidates Renewable Assets Under Sorgenia in €4 Billion Deal with Sixth Street

F2i, Italy’s largest independent infrastructure fund manager, announced a major step in its energy transition strategy by consolidating its renewable energy holdings under Sorgenia. The move is backed by a new partnership with global investment firm Sixth Street, which will acquire approximately 38% of Sorgenia. The deal implies an enterprise value of over €4 billion and is subject to regulatory approvals.

Under the agreement, Sorgenia will absorb F2i-owned companies EF Solare, Renovalia, and Renovalia Tramontana—active in solar and wind energy in Italy and Spain. F2i will retain a 62% stake in Sorgenia, while Predica continues to hold minority shares in EF Solare and Renovalia Tramontana. Asterion will exit its position in Sorgenia.

The consolidation creates a major European energy transition player. Sorgenia now operates around 1,700 MW of renewable energy capacity, with 5,000 MW in development. It also controls 4,400 MW of efficient gas-fired plants, which support grid stability. In addition, Sorgenia serves over one million customers with electricity, gas, fiber connectivity, and green technologies.

The partnership aims to strengthen Sorgenia’s position as a pan-European leader in the energy transition sector. The involvement of Sixth Street brings both capital and infrastructure expertise to accelerate the platform’s growth and international expansion. F2i emphasized the strategic value of combining digital innovation with large-scale clean energy assets, while outgoing shareholder Asterion credited Sorgenia’s recent growth—adding 600,000 retail customers and 0.4 GW of renewable energy capacity—as a strong foundation for future success.

Ambassador Ettore Sequi and Michele De Censi will continue in their roles as Chairman and CEO of Sorgenia, respectively.
